WIND Telecommunications: completed with success the re-financing plan of the 6.6 billion Euros debt

WIND announced today the completion of its re-financing plan of 6.6 billion Euros.
The net revenue of this re-financing plan will be used for:
- total refund of current and outstanding senior credit facilities of WIND;
- carry out the pre-payment of the Second Lien Notes issued by WIND Finance SL S.A.;
- carry out the pre-payment of the Senior Notes with expiry date 2015 issued by WIND Acquisition Finance S.A.;
- commission payment relating to consent request, cover administrative expenses and costs, payment of taxes (including income tax), fees and indemnities connected with, or otherwise related to, the close out of certain contracts of hedging obligations and any of the above operations.
The operation follows the approval of the consent request from the majority of the bondholders issued by Wind Acquisition Finance S.A. (WAF SA), a company in which WIND Telecomunicazioni S.p.A. and WIND Acquisition Holdings Finance S.A. (WAHF SA) are part of and set up last 4th November. The consent relates, among other things, to the request of not proceeding in the application of the controlling change clause concerning the forecasted acquisition of the entire stock capital by VimpelCom of Weather Investments S.p.A. the last owner of WIND.
The Chief executive Officer of WIND, Luigi Gubitosi, commented: “We are extremely satisfied with the result of this re-financing operation confirming the trust in WIND of the international financial markets and which allows the company to extend its average expiry period of its debt and to benefit from the lower interest rates”. The Senior Credit Facility of WIND has been underwritten for double of the original sum thus allowing the company to increase the offer by an additional 500 million Euros at favourable conditions. The success of such a financing operation has given to the company the opportunity of placing a lower number of senior secured bonds, for a total of 2.7 billion Euros. The Chief executive Officer, Luigi Gubitosi also added: “I wish to thank all our investors that continue to appreciate the performance of Wind.”
